GitMind Chat Payment Terms

To use the GitMind Chat Membership service (hereinafter referred to as “the Service”), please carefully read, understand, and comply with the “GitMind Chat Payment Terms” (hereinafter referred to as “this Term”). And this Term is jointly entered into by you and WANGXU TECHNOLOGY  CO., LIMITED,. This Term holds equal legal effect on both parties. The terms presented in bold in this Term, especially those related to your rights, may have significant implications for your rights and interests. Please pay attention to these key terms. If you believe that the bold terms in this Term might compromise any of your rights or interests, please read them carefully again. Proceed to use the Service only after you are certain that you understand and accept the bold terms.

If you disagree with any or all terms of this Term, please do not proceed with the confirmation (including but not limited to payment actions, accepting gifts, or completing the entire process to become a member) or use the Service. When you proceed with confirmation or use the Service, it indicates that you have entered into a term with GitMind Chat. You voluntarily accept this Term and agree to abide by all the terms of this Term. If you are a minor, please read this Term carefully, and confirm whether you agree to it under the guidance and explanation of your legal guardian.

I. Terms Confirmation

1. To meet users’ demand for GitMind Chat Membership services, GitMind Chat now offers Membership services. Please refer to the relevant terms of this Term for details about the service. By using the Service, you confirm that you have read and understood all the content of this Term, including the bold content, as stated at the beginning of the Term. You have also confirmed your term with GitMind Chat based on the Term by checking the relevant box.
2. This Term, along with the “Privacy Policy” and “Terms of Service” listed on the GitMind Chat website, constitute integral parts of the Term. GitMind Chat attaches great importance to your privacy and personal information. It strictly adheres to the requirements of relevant laws and regulations to protect your privacy and personal information. You can find the “Privacy Policy” and “Terms of Service” at the bottom of the GitMind Chat website homepage. While using the Service, you must adhere to this Term and the aforementioned terms.

II. Ownership of Rights

All ownership of the network services provided by this Service, as well as related intellectual property All ownership of the network services provided by this Service, as well as related intellectual property rights, are legally owned by GitMind Chat and are protected under the relevant laws and regulations. You do not automatically obtain any or all of the aforementioned rights by using the membership service.

III. Membership Service

1. Membership Types: GitMind Chat Membership offers two types: Monthly and Annual memberships, each with Basic and Premium tiers of benefits. For details on the differences in membership benefits, please refer to https://gitmind.ai/pricing. After becoming a GitMind Chat member, any upgrades or changes to membership benefits will be clearly communicated to you, ensuring that existing rights remain unaffected.
2. Credit Services: When using GitMind Chat services, you can consume Credits from your account to access conversation, document analysis, webpage analysis, and other services provided by GitMind Chat (specific services are subject to the actual offerings by GitMind Chat). Upon becoming a GitMind Chat member, you will have exclusive membership benefits based on your chosen membership type, along with corresponding Credits. You can find specific details regarding Credit usage and other membership benefits on the https://gitmind.ai/pricing page. You can select different membership types to enjoy different membership benefits depending on your actual usage needs.

IV. Breach of Contract and Liability

1. If you engage in the following behaviors while using this Service, it will be considered a breach of contract:
   • Violating the terms of this Term.
   • Violating the laws, regulations, rules, ordinances of the country where you are located, or any other legally binding norms.
   • Using the Service to gain illegal profits.
   • Being recognized by relevant authorities as infringing upon the legitimate rights and interests of any third party.
   • Engaging in any behavior that infringes upon the legal interests of GitMind Chat, including but not limited to its intellectual property rights.
2. It’s also important to note that you must abide by public order, respect social ethics, refrain from harming network security, refrain from engaging in activities that endanger national security, honor, and interests, refrain from inciting the overthrow of the political power of the state, refrain from inciting secession, refrain from promoting terrorism, extremism, ethnic hatred, discrimination, violence, obscene, and pornographic information, refrain from spreading false information that disrupts economic and social order, and refrain from engaging in activities that infringe upon the reputation, privacy, intellectual property rights, and other legitimate rights and interests of others.
3. Under any circumstance, if GitMind Chat reasonably determines that you have engaged in the aforementioned behaviors, and if it’s necessary to maintain network security, public order, etc., GitMind Chat has the right to take one or more of the following measures at any time without prior notice:
   • Use technical means to delete or block information related to the breach of contract.
   • Suspend or terminate partial or all services.
4. If your breach of contract results in the suspension or termination of the Service, GitMind Chat is not required to refund any fees to you. You shall bear any losses (including but not limited to the reduction or loss of user data) caused by the suspension or termination of your account. If GitMind Chat suffers any losses (including but not limited to legal fees and litigation costs) due to your breach of contract, you shall compensate GitMind Chat in full.

V. Suspension or Termination of this Term

This Term shall be suspended or terminated under the following circumstances:

1. At your voluntary request.
2. If you engage in any conduct that violates the applicable laws and regulations, the provisions of this Term, or any other behavior that seriously affects GitMind Chat’s reputation or interests.
3. Upon the request of laws, regulations, or competent authorities.
4. For the purpose of maintaining the security of accounts and systems or for other urgent needs.
5. In cases of force majeure, which refers to objective situations that are unforeseeable, unavoidable, and insurmountable, including but not limited to national laws, regulations, policies, orders from state authorities, and other government actions, as well as events such as typhoons, floods, earthquakes, tsunamis, wars, and strikes.
6. Other circumstances as stipulated.

VI. Applicable Law and Dispute Resolution

If any disputes arise regarding the content or performance of this Term, the parties shall attempt to resolve them amicably. If no resolution is reached through negotiation, the relevant disputes shall be submitted to Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with its rules of arbitration in effect at the time of applying for arbitration. The seat of arbitration shall be Hongkong. The arbitral award is final and binding upon both parties.

VII. Refund Policy

We are committed to providing the best product experience and services for all users. Before purchasing, our official website provides a free version (10 dialogues with GitMind Chat) to allow you to experience the product’s functions. If you are not satisfied with the purchased product, you may be eligible for a refund under specific conditions.

1. Refund Guidelines:

• Within 7 Days: Annual and monthly GitMind Chat memberships are eligible for a no-reason refund within 7 days from the date of purchase. For example, if you purchase a membership on January 1, you should complete the refund request by January 7 of the same year.
• Beyond 7 Days: If more than 7 days have passed since purchase and there are reasonable grounds, such as the following, you can contact customer service for a refund:
  • Other significant technical issues unresolved within 7 days of purchase
  • Cases of duplicate purchases due to payment platform reasons.
  • Products significantly deviating from the functionality described on product pages or advertisement pages.

• Refund Amount Calculation: Refunds for GitMind Chat membership services will be calculated based on the proportion of your remaining paid credits. The refund amount will be returned to your original payment account. The refund calculation rules are as follows:

• Exceptions to Refunds: For orders purchased from non-official channels, our company has no permission to directly handle refund procedures. such as App Store, GooglePlay, Amazon, Ging, medianavi, etc., you need to contact the purchase channel for refund.
• Once a refund is processed, the corresponding VIP account will be deactivated.

2. How long does it take for the refund to arrive? We will process the refund within 3-7 working days, but the actual refund time depends on your payment method. Due to holidays, the refund processing time may be longer than expected but will not exceed 20 days. If you have not received the refund after 20 days of approval, please contact us to inquire about the refund status.

3. Why haven’t I received the refund after several days? After we have approved the refund, if you still have not received the refund, it may be due to the following reasons:

• Holiday Period: Due to holidays, weekends, banking operations, and other factors, the refund process may take up to 20 days.
• Reasons for Chargeback Application: If you initiate a chargeback, your payment institution will freeze the funds involved until the application is resolved. Please contact your bank or relevant institution to understand their chargeback procedures and policies.

Special Notices:

1. After the successful cancellation of this service, it will not affect the membership benefits that have been successfully charged and activated. The activated membership duration will not be automatically renewed upon expiration. Prior to your decision to terminate this service, any previously authorized automatic renewal and deduction actions taken by GitMind Chat will remain valid. GitMind Chat will not refund any fees deducted due to your authorized actions, and any adverse consequences arising from this will be your responsibility.
2. GitMind Chat reserves the right to adjust the duration, prices, and related content of existing monthly memberships based on user needs, product and service changes, and more, in order to continually improve and optimize services. If you have any questions about the terms of this service, you can email privacy@wangxutech.com.
3. GitMind Chat may modify this agreement (modifications include changes, additions, or deletions to relevant terms) due to business needs, legal and regulatory requirements, notifications from regulatory authorities, and other matters. Once modifications to this agreement are made, GitMind Chat will publish them through system prompts and/or information push notifications and/or backend announcements and/or pop-up windows, etc. It is essential for you to carefully read the modified terms. If you have any questions about the modifications to this agreement, you can cease using this service and consult customer service to better protect your rights. Furthermore, please be reminded that the updated agreement takes effect from the date of the updated version’s release. If you continue to use the membership service, it implies your agreement to all modified content. The updated agreement becomes effective from the date of the updated version’s release.
4. The titles of all terms within this agreement are solely for convenience in reading and understanding, and they themselves do not hold any actual legal meaning. They cannot be used as a basis for interpreting any terms or clauses within this agreement.
5. The invalidity or impracticability of any term for any reason does not affect the effectiveness of the remaining terms. The remaining terms are legally binding on both parties to this agreement.

Attachment: GitMind Chat Auto-Renewal Service Instructions

This GitMind Chat Auto-Renewal Service Instructions (hereinafter referred to as “these instructions”) are attached to the “GitMind Chat AI Assistant Membership Service Agreement.” In case of conflict between these instructions and the “GitMind Chat Payment Terms,” these instructions shall prevail.

1. The GitMind Chat Auto-Renewal Service (hereinafter referred to as “this service”) refers to a service provided to meet members’ automatic renewal needs. This service aims to prevent members from missing renewals due to negligence or other reasons, on the premise that you have already subscribed to a membership.
2. By subscribing to this service, you authorize GitMind Chat to deduct the monthly fee for the next billing cycle from your account when your membership service period is about to expire. Deductions will be made from your self-owned recharge account, third-party payment accounts linked to your membership account, bank cards, payment accounts linked to your Apple Store account, or other payment accounts (collectively referred to as “account”).
3. This service is contingent upon your binding of the membership account to the aforementioned account and the successful deduction of the required amount from the mentioned account. It is your responsibility to regularly monitor and ensure that sufficient funds are available in the designated payment method to meet the continuous monthly service charge. If there are deficiencies (including but not limited to insufficient balance or an insufficient balance to accommodate multiple consecutive monthly services) that prevent continuous monthly service provision, GitMind Chat has the right to suspend or terminate your membership service without further notice. To cancel the continuous monthly service, you need to cancel the subscription at least 24 hours before the membership expiration. Otherwise, the system will automatically renew your membership for the next month. Please note that there may be a delay in displaying the automatic renewal status, and the exact membership validity period is determined by the information displayed within the GitMind Chat app. The instructions previously provided for automatic renewal remain valid until you successfully cancel them, and GitMind Chat will not refund or compensate for any fees deducted based on these instructions before the cancellation process is completed.
4. You understand and agree that if you use a third-party payment channel to pay fees, you will also be bound by the terms and rules of that third-party service.
5. This service is effective from the date of your subscription and will remain in effect until you voluntarily choose to cancel it.
6. It is your choice whether to terminate this service. If you do not cancel it, you agree that GitMind Chat will attempt to automatically deduct the renewal fee from your account in accordance with these rules. Once the deduction is successful, GitMind Chat will extend your membership validity period accordingly (you can check the membership validity period in the “My Account” – “Status” section). If the price of the membership service changes during the automatic renewal process or prior to it, the currently effective price will apply.
7. You can terminate this auto-renewal service. Please provide the order number and describe the reason to cancel a subscription, and contact us.
